These Terms of Use (“Terms”) govern access to and use of the Membersstack platform, website, applications, and related services (collectively, the “Services”). By accessing or using Membersstack, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. About Membersstack

Membersstack is a cloud-based operating system designed for membership-based organizations to manage membership records, dues and payments, communication campaigns, events, attendance, polling, donations, and related administrative activities.

2. Eligibility and Authority

You must be at least 18 years old to use the Services. Where you are accessing Membersstack on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Responsibilities

Users must provide accurate and complete information when creating an account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities conducted under your account
• Ensuring that data uploaded to the platform is lawful and accurate

Membersstack reserves the right to suspend or terminate accounts that provide false information or misuse the platform.

4. Use of the Services

You agree to use Membersstack only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform for fraudulent, harmful, or illegal activities
• Interfere with the security or integrity of the Services
• Upload malicious code or attempt unauthorized access
• Use the Services in a way that violates applicable laws or third-party rights

5. Subscription Plans and Fees

Membersstack operates on paid subscription plans, which may include Lite, Medium, Pro, Lifetime, and Custom tiers. Fees, billing cycles, and included features are disclosed on the platform and may be updated from time to time.

All fees are non-refundable unless otherwise stated in writing.

6. Payments and Third-Party Payment Processors

Membersstack does not store or process credit or debit card details. Payments are handled by third-party payment processors engaged from time to time.

Currently, Membersstack uses Fincra as a payment processing partner. By making payments, you agree to the terms and privacy policies of such payment processors. Membersstack is not responsible for errors, downtime, or security issues arising from third-party payment services.

7. Data Ownership and License

Organizations retain ownership of their data uploaded to Membersstack. By using the Services, you grant Membersstack a non-exclusive, limited license to host, process, and display such data solely for the purpose of providing the Services.

Membersstack may use anonymized and aggregated data for analytics, product improvement, and reporting.

8. Intellectual Property

All software, trademarks, logos, designs, and content related to Membersstack are the exclusive property of Membersstack or its licensors. These Terms do not grant you any ownership rights in the platform.

You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Services without prior written consent.

9. Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or sensitive information obtained through the use of the Services and to use such information solely for purposes related to this agreement.

10. Service Availability and Modifications

Membersstack aims to provide reliable access but does not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any part of the Services with or without notice.

11. Termination

Membersstack may suspend or terminate access to the Services:

• For violation of these Terms
• For non-payment of subscription fees
• Where required by law

Upon termination, access to the platform may be revoked, but outstanding financial obligations remain payable.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available.” Membersstack disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, Membersstack shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or profits, arising from use of the Services.

Membersstack’s total liability shall not exceed the amount paid by the user for the Services in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Membersstack, its directors, officers, employees, and partners from any claims, damages, or liabilities arising from your use of the Services or violation of these Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

16. Changes to These Terms

Membersstack may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
